Your role
We are looking for an exceptional lawyer with a pronounced entrepreneurial mindset and extensive (8+ years) experience in climate and energy investment, finance, corporate and M&A matters, to join our Legal Team.  You will work with our Chief Legal and Compliance Officer and Legal Team on all legal aspects of Persistent’s development and be ready to roll up your sleeves to provide the legal framework of its venture partners – those companies that Persistent provides human and financial capital to.

Your responsibilities
Persistent corporate and business operations:

  • Work on the legal and tax analysis of Persistent’s corporate structure and develop recommendations for the most beneficial legal and tax structure for future growth of Persistent
  • Work on the legal aspects of Persistent’s business operations, its capital raising and borrowing
  • Work on the legal aspects of Persistent’s investments in and relationships with its partner companies, including legal due diligence, negotiations and documentation
  • Assist in coordinating with outside legal counsel to the firm in various jurisdictions

Persistent advisory mandate:

  • Work on legal aspects of Persistent’s advisory mandates, including Persistent’s mandate in a fund co-investing with crowdlenders in green minigrids other off-grid solar businesses. Work includes drafting of legal documentation and due diligence investigations.

Persistent partner companies:

  • On behalf of Persistent, guide, oversee and vet tax and legal structures of Persistent partner companies
  • Advise on and troubleshoot ongoing legal matters (issue spotting, assistance in retaining outside counsel where appropriate and assistance in supervision of outside counsel) for Persistent partner companies
  • Act as legal and business advisor for partner companies under Service Level Agreements, including negotiating complex financings, securitizations, investments,  acquisitions and insolvency restructurings, with appropriate technical assistance from outside legal counsel

Your profile
You fulfil the following requirements:

  • Passion for our mission and a pronounced entrepreneurial mindset to enable companies in emerging markets to positively impact the climate and lives of individuals our companies serve as they grow and scale.
  • Over 8 years’ experience (Senior Associate level or the equivalent in-house or government) practising law.
  • Demonstrated African and international legal experience in at least several of the following categories: climate finance, e-mobility, renewable energy (offgrid solar and green mini-grids), general corporate law, venture capital or other private equity, fund management, debt and equity financing, mergers and acquisitions, due diligence investigations, bankruptcy and insolvency and international tax.
  • A practical, problem solving approach to practising law, able to weigh risks and propose practical solutions, not simply point out obstacles.
  • Self-starter and allrounder: You are willing to take bold steps and to bring the organisation with you. You are willing to get your hands dirty and do not consider even basic tasks beneath you.
  • Building relationships and representing: You are able to build trustful relationships with peers, key partners and stakeholders on the ground.
  • You are a team player with an analytical mindset and strong problem-solving abilities.
  • Location & Travel: You are based in Africa (preferably can legally live and work in Nigeria or Kenya) and are able to frequently travel to spend time with partner companies and with the distributed Persistent team.

You must have:

  • Internationally recognised legal qualifications and experience: A Bachelor of Laws (LL.B) and Master of Laws degree (LL.M) and a licence to practice in a leading African or international jurisdiction.
  • Knowledge of the climate finance and renewable energy sector (climate impact, e-mobility, offgrid solar and green mini-grid) in sub-Saharan Africa.
  • Experience working within the framework UN SDG 6-9.
  • An African national and/or significant work and life experience on the continent.
